These Terms & Conditions govern the use of the Zinovo website and the services provided by Zinovo. By engaging our services, you agree to the terms outlined below.
1. Services
Zinovo provides digital marketing and related services, which may include:
- Search Engine Optimisation
- Google Ads Management
- Paid Marketing
- Google Business Profile Management
- Social Media Marketing
- Website Design & Development
- Content Marketing
- Local SEO
- Digital Strategy
- Other related digital services
The exact scope of work, deliverables, timelines and commercial terms will be defined in the proposal, quotation, agreement or written communication shared for each project.
2. No Result, No Payment – Google Ads Only
The “No Result, No Payment” model applies only to selected Google Ads marketing engagements where this commercial model has been specifically agreed in writing before the campaign begins.
It does not automatically apply to:
- SEO
- Local SEO
- Google Business Profile Management
- Social Media Marketing
- Meta Ads
- Website Design or Development
- Content Creation
- Branding
- Consultancy
- Any other Zinovo service
For eligible Google Ads campaigns, the meaning of a “result”, applicable performance criteria, measurement method, campaign period and payment conditions will be clearly defined in the individual proposal or agreement.
Advertising spend payable directly to Google or any third-party platform is separate from Zinovo’s professional fees unless specifically stated otherwise.
The “No Result, No Payment” model does not mean guaranteed sales, revenue or business outcomes unless such conditions are expressly stated in writing.
3. Fees & Payments
Service fees, payment schedules and billing terms will be communicated before the start of work.
Unless otherwise agreed:
- third-party costs are charged separately
- advertising budgets are separate from management fees
- hosting, software, plugins, subscriptions and paid tools may be additional
- applicable taxes may be charged where required
Work may be paused where agreed payments remain outstanding.
4. Client Responsibilities
Clients are responsible for providing accurate information, approvals, access credentials, brand assets and other material required to perform the agreed services.
Delays in providing required information or approvals may affect project timelines and campaign performance.
5. Advertising Platforms
Zinovo may manage campaigns across platforms such as Google and Meta.
Campaign approval, advertisement delivery, account restrictions, suspensions and platform policies are controlled by the respective advertising platforms.
Zinovo cannot guarantee uninterrupted approval or availability of any third-party advertising account or platform.
6. SEO & Ranking Results
Search engine rankings are influenced by multiple factors, including competition, algorithm updates, website condition and changes made by search engines.
Zinovo does not guarantee a specific ranking position, traffic level or timeframe unless explicitly stated in a written agreement.
SEO services are provided with the objective of improving search visibility and organic performance over time.
7. Website Development
Website projects will be developed according to the approved scope.
Additional features, revisions or functionality outside the agreed scope may be quoted separately.
The client is responsible for reviewing and approving content, designs and functionality before final launch.
8. Intellectual Property
Unless otherwise agreed, final approved deliverables created specifically for the client may be transferred after all applicable payments have been completed.
Zinovo may retain ownership of:
- internal processes
- methodologies
- templates
- tools
- reusable code
- frameworks
- proprietary systems
Third-party assets remain subject to their respective licence terms.
9. Content & Client Materials
Clients are responsible for ensuring they have the legal right to use all text, images, logos, videos and other materials supplied to Zinovo.
Zinovo is not responsible for claims arising from material supplied by the client without appropriate rights or permissions.
10. Third-Party Services
Zinovo may use third-party tools and platforms while delivering services.
These may include:
- Meta
- hosting providers
- analytics platforms
- website software
- CRM systems
- email and communication tools
Zinovo is not responsible for outages, policy changes or technical failures caused by independent third-party providers.
11. Project Timelines
Any timeline provided is based on the agreed scope and timely cooperation from all parties.
Timelines may change due to:
- delayed client approvals
- scope changes
- third-party dependencies
- technical issues
- platform reviews
- circumstances outside reasonable control
12. Cancellation & Termination
Cancellation terms may vary according to the individual service agreement.
Any work completed, committed third-party costs or non-refundable expenses incurred before cancellation may remain payable.
Recurring services may require notice before termination where specified in the relevant agreement.
13. Limitation of Liability
Zinovo will make reasonable efforts to provide services professionally and according to the agreed scope.
However, Zinovo is not responsible for indirect losses, loss of expected profits, platform changes, search algorithm changes or business outcomes outside the reasonable control of Zinovo.
14. Confidentiality
Both Zinovo and the client should maintain the confidentiality of non-public business information shared during the course of the engagement.
Information may be disclosed where legally required.
15. Portfolio & Case Studies
Unless otherwise agreed in writing, Zinovo may request permission to reference completed work in its portfolio, website, presentations or case studies.
Sensitive or confidential client information will not be publicly disclosed without appropriate permission.
16. Changes to These Terms
Zinovo may update these Terms & Conditions from time to time.
The latest version will be published on this page along with the updated revision date.
